These Terms of Service (“Terms”) govern your use of the TenantIQ.ai platform and services (“Services”), which are operated by Carbon Critical LLC (“Company,” “we,” “us,” or “our”).
By accessing or using TenantIQ.ai, you agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue use of the platform immediately.
1.2 Jurisdiction & Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, State of Delaware, without regard to conflict of law principles.
If you are located in a jurisdiction where local consumer protection laws apply, these Terms shall only apply to the extent permitted by those laws.
2. User Accounts & Responsibilities
2.1 Eligibility
To use TenantIQ.ai, you must:
- Be at least 18 years old.
- Be a landlord, tenant, or maintenance provider.
- Tenants must receive an invitation from their landlord to create an account.
- Maintenance providers must be pre-approved by TenantIQ.ai before accessing the platform.
By registering for an account, you represent and warrant that you meet these eligibility requirements.
2.2 Account Creation
To create an account, users must provide the following information:
- Full Name
- Email Address
- Phone Number
- Role (Tenant, Landlord, or Maintenance Provider)
- Address
- Rental Property Addresses (for landlords and tenants)
- Company Name (for maintenance providers)
Users are responsible for ensuring that all information provided is accurate and up to date. TenantIQ.ai may require additional verification for security and fraud prevention purposes.
2.3 Account Termination & Suspension
TenantIQ.ai reserves the right to disable or terminate user accounts at its discretion, including but not limited to the following circumstances:
- Tenants move out and are no longer associated with a rental property.
- Landlords cancel their subscription or stop using the service.
- Maintenance providers are removed from the platform (e.g., due to poor reviews, inactivity, or non-compliance).
- Violations of the Terms of Service, including fraudulent activity, harassment, or misuse of the platform.
- Legal or regulatory requirements that necessitate account removal.
2.4 Account Reinstatement & Data Retention
- Disabled accounts may be reinstated if requested within a certain period, subject to TenantIQ.ai’s approval.
- After a pre-defined period, TenantIQ.ai may permanently delete inactive or disabled accounts, in accordance with our data retention policy.
Users who believe their account was suspended or terminated in error may contact admin@tenantiq.ai to appeal.
3. Services Provided
3.1 Core Features
TenantIQ.ai provides an AI-powered property management platform that facilitates communication and transactions between landlords, tenants, and maintenance providers. The key functionalities include:
- AI-Powered Property Management – Automated tools to assist with rental operations.
- Maintenance Requests – Tenants can submit requests, and landlords can assign service providers.
- Lease Renewals – Streamlining the renewal process between tenants and landlords.
- Rental Payments – Facilitating rental transactions through third-party payment processors.
- Payment for Maintenance Services – Enabling landlords and tenants to process payments for completed maintenance tasks.
TenantIQ.ai continuously improves its features, and additional functionalities may be introduced over time.
3.2 Service Limitations
While TenantIQ.ai offers a range of property management services, there are specific limitations:
- No Legal Advisory Services – TenantIQ.ai does not provide legal advice regarding rental agreements, disputes, or compliance. Users should consult a qualified attorney for legal matters.
- No Direct Payment Processing – TenantIQ.ai does not store or process payment details directly. All transactions are handled via third-party services such as Bill.com.
- Limited Liability for Transactions – Because payments are processed externally, TenantIQ.ai is not responsible for failed, delayed, or disputed transactions.
Users should ensure they understand these limitations before using the platform.
3.3 Service Availability & Updates
TenantIQ.ai strives to provide a reliable and uninterrupted service, but users acknowledge that:
- New versions of the app will be released periodically, and users may need to install updates.
- Downtime is expected to be minimal, limited to the time required for updates to be applied.
- Service interruptions may occur due to external factors such as third-party API failures, internet disruptions, or security updates.
TenantIQ.ai reserves the right to modify, suspend, or discontinue any service at its discretion, with or without notice.
4. Payments & Fees
4.1 Subscription Model
TenantIQ.ai operates on a tiered subscription model, with pricing based on the level of human involvement required per unit. The pricing structure includes:
- $20–$100 per unit per month, depending on service level requirements.
- Maintenance Markup: 15% surcharge on maintenance service payments.
- Appliance Markup: 15% surcharge on appliance purchases and replacements facilitated through the platform.
By subscribing to TenantIQ.ai, users agree to the pricing model and acknowledge that additional fees may apply for specific transactions.
4.2 Refund Policy
- TenantIQ.ai does not offer refunds for any subscription payments.
- Users may cancel their subscription at any time, but they will continue to have access to the platform until the end of the paid subscription period.
- No pro-rated refunds will be issued for partial months or unused time within a subscription period.
Users are responsible for managing their subscription settings to avoid unwanted charges.
4.3 Third-Party Payment Processing
TenantIQ.ai does not process or store payment details directly. All financial transactions are facilitated through third-party payment processors, such as Bill.com, with plans to introduce additional international payment solutions in the future.
By using TenantIQ.ai, users agree to comply with the terms and policies of these third-party payment processors.
TenantIQ.ai is not responsible for:
- Payment failures due to bank issues, insufficient funds, or third-party system errors.
- Delays in processing payments caused by external providers.
- Disputed transactions handled by third-party payment services.
Users should review the terms and conditions of the approved payment providers to understand their rights and responsibilities.
4.4 Rent Collection and Payment Processing
TenantIQ.ai facilitates rent collection through its platform. In jurisdictions where local licensing is required for handling rent payments, TenantIQ.ai complies with applicable laws and regulations.
California Rent Handling Notice: Rent-related transactions for California properties are managed under the supervision of a licensed Real Estate Broker. The Responsible Party for these transactions is Scott Brody, DRE# 01331504, in accordance with California Department of Real Estate requirements.
5. User Conduct & Restrictions
TenantIQ.ai is committed to maintaining a safe, fair, and professional environment for all users. By using the platform, you agree to follow these rules and acknowledge that violations may result in account suspension or termination.
5.1 Prohibited Activities & Financial Penalties
Users are strictly prohibited from engaging in the following activities while using TenantIQ.ai:
- Fraudulent Listings – Creating or managing rental or maintenance listings that are false, misleading, or deceptive.
- Harassment & Abuse – Engaging in threats, harassment, or abusive behavior toward other users.
- Illegal Use – Using the platform for activities that violate local, state, national, or international laws.
- Abuse of Other Users – Conducting unfair, unethical, or harmful practices that negatively impact tenants, landlords, or service providers.
- Dishonest Maintenance Requests – Submitting false or misleading maintenance requests, failing to disclose critical details, or intentionally withholding information that affects service costs or repairs.
- Misuse of Platform Features – Attempting to exploit platform functionalities for financial gain, such as submitting fraudulent claims for maintenance reimbursements.
Financial Penalties for Misuse
TenantIQ.ai reserves the right to impose financial penalties on users who engage in dishonest or fraudulent behavior, including:
- Charges for fraudulent maintenance requests – If a user submits a false or misleading maintenance request or withholds critical information, they may be required to cover the cost of service dispatch, labor, and administrative fees.
- Compensation for platform abuse – If a user exploits platform features to gain unfair financial advantages, TenantIQ.ai may recover damages through financial penalties or legal action.
- Administrative fees for violations – TenantIQ.ai may charge an administrative penalty for processing fraudulent claims or handling disputes caused by dishonest actions.
Users who disagree with financial penalties may submit an appeal via admin@tenantiq.ai.
5.2 Content Ownership & License
Users retain ownership of the content they upload to TenantIQ.ai, including but not limited to:
- Lease agreements
- Property photos
- Maintenance requests
By uploading content, users grant TenantIQ.ai a non-exclusive, worldwide, royalty-free license to store, process, and display the content solely for the purpose of providing platform services.
Users represent and warrant that they have the necessary rights to upload and share the content and that their uploads do not infringe on any third-party rights. TenantIQ.ai is not liable for user-uploaded content and reserves the right to remove any content that violates these Terms.
5.3 Account Suspension & Ban
TenantIQ.ai reserves the right to suspend, disable, or permanently ban accounts under the following conditions:
5.3.1 Violations Leading to Suspension or Ban
- Violations of the Terms of Service – Failure to comply with platform policies.
- Fraudulent, Illegal, or Unauthorized Activities – Engaging in fraudulent transactions, scams, or identity theft.
- Harassment, Abuse, or Harmful Behavior – Threatening, discriminating, or engaging in harmful conduct toward other users.
- Platform Misuse & Security Violations – Hacking, exploiting vulnerabilities, or attempting to gain unauthorized access.
- Payment & Financial Misconduct – Repeated failed payments, chargeback fraud, or financial disputes conducted in bad faith.
- Violation of Community Standards & Ethical Use – Conduct that undermines the integrity and purpose of TenantIQ.ai.
- Legal or Regulatory Requirements – If required by law enforcement, government authorities, or regulatory agencies.
- Any Other Conduct That TenantIQ.ai Deems Harmful or Inappropriate – TenantIQ.ai reserves the right to take action against users engaging in conduct that is harmful, unethical, or disruptive to the platform, even if not explicitly listed above.
5.3.2 Appeals & Reinstatement Process
- Suspended users may appeal their case by contacting admin@tenantiq.ai.
- Appeals will be reviewed on a case-by-case basis, and a final decision will be made by TenantIQ.ai.
- Permanently banned accounts cannot be reinstated, unless an error is proven.
6. Privacy & Data Handling
TenantIQ.ai is committed to protecting user privacy and handling personal data responsibly. The collection, processing, and storage of user data are governed by our Privacy Policy, which provides detailed information on how we manage personal information. By using TenantIQ.ai, you agree to the data collection and handling practices outlined in our Privacy Policy.

TenantIQ.ai collects and processes user data to provide and improve platform services, including:
- Account creation and verification
- Processing maintenance requests
- Facilitating rental and service payments
- Managing lease renewals (future feature)

7. Liability & Disclaimers
7.1 Service Limitations
TenantIQ.ai provides its platform and services “as is” and “as available”, without warranties of any kind, express or implied. While we strive to maintain platform availability, TenantIQ.ai does not guarantee uninterrupted or error-free service.
TenantIQ.ai is not liable for any service interruptions, delays, or failures caused by:
- Scheduled maintenance or software updates.
- Technical issues, including server outages or third-party service disruptions.
- Network failures, cybersecurity incidents, or unauthorized access.
- Events beyond our reasonable control, including natural disasters, government actions, or legal requirements.
Users acknowledge that service interruptions may occur and waive any claims against TenantIQ.ai for downtime-related losses or inconvenience.
7.2 Financial Transactions
- TenantIQ.ai does not process payments directly and relies on third-party payment providers to facilitate rental and maintenance service transactions.
- TenantIQ.ai is not responsible for failed, delayed, or disputed transactions processed through external payment providers.
- Users must address payment disputes, chargebacks, or refund requests directly with the relevant third-party payment processor.
TenantIQ.ai disclaims all liability for any financial losses, banking errors, or transaction failures resulting from external payment processing issues.
7.3 AI Decision-Making
TenantIQ.ai incorporates AI-driven automation to enhance property management services, including:
- Maintenance request prioritization and task assignment.
- Future AI features, such as rent analysis and lease renewal recommendations.
Users acknowledge and agree that AI-driven decisions are based on predefined algorithms and available data. While AI helps optimize processes, all decisions are subject to human review where necessary.
TenantIQ.ai disclaims liability for any outcomes, errors, or disputes arising from AI-generated recommendations or automated processes.
7.4 Limitation of Liability
To the maximum extent permitted by law, TenantIQ.ai and its affiliates, officers, directors, employees, and agents shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss.
- User disputes, tenant-landlord conflicts, or issues arising from property transactions.
- Decisions made based on AI recommendations or platform-generated insights.
TenantIQ.ai’s total liability, in any case, shall not exceed the greater of (a) the total amount paid by the user for services within the past three (3) months, or (b) $100.
8. Dispute Resolution
8.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, State of California, without regard to conflict of law principles.
If local consumer protection laws in a user’s jurisdiction require different legal provisions, those laws shall apply only to the extent necessary.
8.2 Arbitration & Alternative Dispute Resolution
TenantIQ.ai encourages informal resolution of disputes before resorting to formal proceedings.
8.2.1 Informal Negotiation
If a dispute arises, users agree to first attempt to resolve the issue through good-faith negotiations with TenantIQ.ai. If no resolution is reached within 30 days, the dispute shall proceed as follows:
8.2.2 Arbitration (Where Enforceable)
For users in jurisdictions where arbitration is enforceable (including but not limited to the United States), disputes shall be resolved exclusively through binding arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
- The arbitration shall take place in California.
- The arbitrator’s decision shall be final and binding on both parties.
- Each party shall be responsible for its own arbitration costs, except where required otherwise by law.
8.2.3 Consumer Protections (Where Arbitration is Not Enforceable)
For users in jurisdictions where arbitration is prohibited or restricted (such as Australia, where consumer protection laws apply), users retain the right to:
- Seek resolution through local consumer protection authorities.
- Pursue claims in the courts of their jurisdiction where required by law.
TenantIQ.ai complies with consumer protection laws in applicable jurisdictions and will adhere to legal requirements when handling disputes.
8.3 Class Action Waiver
To the maximum extent permitted by law, users agree that any dispute must be resolved on an individual basis and shall not proceed as a class action, consolidated claim, or other representative proceeding.
By using TenantIQ.ai, users waive their right to participate in class actions or group lawsuits against the platform.
8.4 Exceptions: When Legal Action May Be Taken
TenantIQ.ai reserves the right to pursue legal action directly in court for the following cases:
- Intellectual property infringement (e.g., unauthorized use of TenantIQ.ai trademarks or proprietary technology).
- Unauthorized access or hacking of the platform.
- Fraud, payment-related disputes, or financial misconduct.
- Security breaches that compromise user data.
TenantIQ.ai may file a lawsuit in Delaware state or federal courts or in any jurisdiction where necessary to protect its legal rights.
9. Changes to the Terms of Service
9.1 Update Notifications
TenantIQ.ai may update these Terms of Service periodically to reflect changes in laws, business practices, or platform features. If significant changes are made, users will be notified through:
- Email Notifications – An email will be sent to registered users detailing key changes.
- In-App Notifications – A notification will be displayed within the TenantIQ.ai platform.
- Website Updates – The most recent version of these Terms will always be available on our website.
Users are encouraged to review the Terms regularly to stay informed about their rights and responsibilities.
9.2 User Agreement & Continued Use
By continuing to use TenantIQ.ai after an update to these Terms, users agree to be bound by the revised Terms. If a user does not agree with any updates, they must stop using the platform immediately.
